Promus Capital Management, LLC (“Promus Capital Management”) is a subsidiary of Waverly Advisors, LLC, an investment adviser registered with the Securities and Exchange Commission (“Waverly”). Waverly serves as investment manager/adviser of the Promus Access privately offered pooled investment vehicles (funds of private equity funds) (“Promus Access Funds”). Promus Capital Management serves as owner of each general partner or as manager of the Promus Access Funds, as applicable, based on whether the particular Promus Access Fund is structured as a limited partnership or a limited liability company, respectively.
